Terms of Service

1. Agreement

These Terms of Service ("Terms") govern your access to and use of CommissionSight (the "Service"). By creating an account or using the Service, you agree to these Terms. If you are using the Service on behalf of an organization, you represent that you are authorized to bind that organization.

2. The Service

CommissionSight ingests insurance commission statements you upload, maps them into a unified data model, and produces month-over-month analytics (member status, deltas, attrition, and related reports). The Service is provided on a subscription basis and may evolve over time.

3. Accounts & access

You are responsible for your account credentials and API tokens, for all activity under your account, and for keeping your contact and billing information accurate. New accounts may require approval before access is granted. You must promptly notify us of any unauthorized use.

4. Acceptable use

You agree not to misuse the Service: no uploading data you lack the right to process, no attempts to breach security or access another customer’s data, no reverse engineering, and no use that violates applicable law or the rights of others.

5. Fees & billing

Paid plans are billed per active member per month, with automatic volume discounts, in arrears — each month’s usage is invoiced on or after the 1st of the following month to the payment method on file (card or bank/ACH). A payment processing fee may be added and is shown before charge. Fees are non-refundable except where required by law. You authorize us and our payment processor (Stripe) to charge your payment method for amounts due.

6. Referral program

We may offer a referral program under which an existing customer who shares their unique referral link earns an account credit when a new, unaffiliated agency signs up through that link, uploads at least two commission statements, and adds a valid payment method. Credits (currently $25 per qualifying referral, subject to a per-calendar-year cap) have no cash value, are applied only against future CommissionSight invoices, are non-transferable, and may be changed or the program discontinued at any time. Eligibility requires that the referred account be a genuine, separate business from the referrer: referring yourself, businesses you own or control, or otherwise affiliated or duplicate accounts does not qualify. We may withhold, void, or reverse (claw back) credits — and suspend program participation or terminate accounts — where we detect or reasonably suspect fraud, abuse, self-referral, or fake, duplicate, or non-bona-fide signups, including signals such as a shared payment instrument, IP address, or coordinated timing between the referring and referred accounts. Where a credit obtained through such conduct has already been applied to an invoice, we may reverse it by charging the corresponding amount to your payment method. Our determination of eligibility and abuse is final.

7. Your data

As between you and us, you retain all rights to the statement and member data you upload ("Customer Data"). You grant us a limited license to host and process Customer Data solely to provide the Service. Each account’s Customer Data is stored in an isolated database and is not co-mingled with other customers’ data. You may request export or deletion of your Customer Data.

8. Confidentiality & security

We protect Customer Data with administrative and technical safeguards, including encryption in transit and at rest and per-account isolation. No method of transmission or storage is perfectly secure; we cannot guarantee absolute security.

9. Service availability

We aim for high availability but the Service is provided "as is" and "as available." We may modify, suspend, or discontinue features with reasonable notice. Scheduled maintenance and factors outside our control may affect availability.

10. Disclaimers

CommissionSight provides analytics to assist your review; it is not financial, accounting, or legal advice. You are responsible for validating figures before acting on them. To the maximum extent permitted by law, we disclaim all implied warranties.

11. Limitation of liability

To the maximum extent permitted by law, neither party is liable for indirect, incidental, or consequential damages, and our aggregate liability for any claim is limited to the fees you paid for the Service in the twelve months preceding the claim.

12. Termination

You may stop using the Service at any time. We may suspend or terminate access for breach of these Terms or non-payment. On termination, your right to use the Service ends; we will make Customer Data available for export for a reasonable period before deletion.

13. Governing law & jurisdiction

These Terms are governed by the laws of the State of New Jersey, USA, without regard to its conflict-of-laws principles. You and CommissionSight agree to the exclusive jurisdiction of the state and federal courts located in New Jersey for any dispute arising out of or relating to these Terms or the Service.

14. Changes

We may update these Terms; material changes will be communicated through the Service or by email. Continued use after changes take effect constitutes acceptance.
